Terms of Service
The agreement between you and Horavo when you use the audit service. Plain English, with the obligations that actually matter stated up front.
- Effective
- Version
- 1.0

- Privacy Policy
The short version. Horavo audits Shopify storefronts you are authorised to audit and gives you findings and tasks. The findings are informational, not legal, accessibility or professional advice, and no guarantee of any compliance outcome. Pay for the plan you use, do not point the crawler at stores that are not yours, and keep your credentials safe. This summary is not part of the agreement; the sections below are.
1. Agreement to these terms
These Terms of Service (the “Terms”) are a binding agreement between you and Oxenbytes, LLC, a Delaware limited liability company (“Horavo”, “we”, “us”). They govern your access to and use of the Horavo website, dashboard, API, MCP server and audit engine (together, the “Service”).
By creating an account, purchasing an audit, or otherwise using the Service, you accept these Terms. If you are accepting on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and “you” means that organisation.
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
You must be at least 18 years old and legally able to enter into a contract to use the Service. The Service is intended for business use.
2. What Horavo is
Horavo crawls the public storefront of a Shopify store you submit, runs automated checks across categories such as general setup, SEO, AEO, internal links, performance, accessibility, media, catalog, compliance and AI-driven CRO, scores each category, and turns the results into findings and a prioritised task board.
The Service reads publicly reachable pages at a polite, rate-limited crawl speed, comparable to a single visitor browsing the site. In this version, Horavo does not connect to the Shopify Admin API and does not require you to install a Shopify app.
What Horavo is not. Horavo is an automated analysis tool. Its output is informational and does not constitute legal, accessibility, tax, financial or other professional advice. In particular:
- Accessibility checks are automated scans. Automated testing detects only a portion of accessibility issues and cannot establish conformance with WCAG, the ADA, the European Accessibility Act or any other standard or law. A passing score is not a compliance certificate.
- Compliance and policy checks look for the presence and shape of common storefront elements. They are not a legal review of your store, your policies or your obligations.
- Performance measurements are produced by third-party tooling on sampled pages and vary between runs, networks and devices.
Decisions you make based on Horavo output (including changes to your store, your policies or your marketing) are yours. Where an issue has legal consequences, take professional advice.
3. Accounts and organisations
You need an account to use the Service, including for one-time audits. You agree to provide accurate information, keep it current, and keep your credentials confidential. You are responsible for everything that happens under your account, including actions by team members and by any API key or integration you create.
Accounts belong to an organisation. The organisation owner controls membership, billing and the stores in the workspace, and can invite, remove and change the role of members. Members can see the stores, audits, findings and tasks in their organisation. If you invite someone, you confirm you are entitled to share that workspace’s contents with them.
Tell us promptly at security@horavo.com if you believe your account or an API key has been compromised.
5. Acceptable use
You agree not to:
- use the Service to access any store, system or data without authorisation;
- attempt to overload, disrupt or circumvent limits of the Service, including plan limits, audit caps, rate limits or crawl budgets;
- resell, sublicense or provide the Service to third parties as a standalone product, or use it to build a competing audit service;
- reverse engineer, decompile or attempt to extract the source code, check definitions, prompts or scoring logic of the Service, except where this restriction is unenforceable by law;
- scrape or bulk-export the Service’s interfaces other than through the API we provide, or share API keys outside your organisation;
- submit content that is unlawful, infringing, malicious, or that you have no right to submit;
- use the Service in a way that violates applicable law or the rights of others.
We may apply technical limits (audits per month, stores per plan, crawl depth, API rate limits, AI token budgets) and may change them for stability or cost reasons. Current plan limits are shown on the pricing page and in your dashboard.
6. AI features and audit output
Parts of the Service use AI models to review screenshots and page content, to draft fix guidance, action plans, policy and FAQ text, and to answer questions about your audit. These features run on a third-party AI provider acting on our behalf; see AI processing in our Privacy Policy for what is sent and on what terms.
AI output can be wrong, incomplete or unsuitable for your situation. Drafts (including policy text, accessibility statements and FAQ content) are starting points, not finished documents. Review everything before you publish it, and take professional advice where the subject matter warrants it. You are solely responsible for content you publish on your store.
As between you and us, you own the output generated for your audits and may use it for any lawful purpose relating to your business. Because of how generative models work, output may not be unique, and similar output may be generated for other customers.
7. Plans, billing and refunds
Payments and merchant of record
Payments are processed by Polar.sh, which acts as the merchant of record for purchases of the Service. Polar handles checkout, payment methods, invoicing and sales tax or VAT where applicable, and its own terms apply to the payment transaction. We never see or store your full card details.
Subscriptions
Subscription plans are billed in advance on a recurring monthly basis and renew automatically until cancelled. Prices are shown on the pricing page and are exclusive of taxes unless stated otherwise. You can cancel at any time from billing settings; cancellation takes effect at the end of the current billing period and you keep access until then. We do not provide partial refunds for unused time in a period.
One-time audits
A one-time audit is a single purchase that entitles you to run the full audit on one store. Once the audit has started running, the purchase is used and is not refundable. A store added through a one-time purchase does not count against subscription plan limits.
Plan limits and changes
Each plan includes a number of stores and a number of audits per month. Reaching a limit blocks new audits until the next period or an upgrade; it never deletes anything. Downgrading or cancelling does not delete your stores, audit history or task boards; it only limits new audits.
We may change prices. For subscriptions we will give you at least 30 days’ notice by email before a price change takes effect on your plan, and you may cancel before it does.
Failed payments and promotions
If a payment fails, we may retry it and may suspend access to paid features until the balance is settled. Where a promotional discount applies (for example a launch or waitlist offer) it applies for the stated period only, and the standard price applies afterwards.
8. Your data and the licence you grant
“Your Data” means what you submit to the Service and what the Service produces from it: store URLs and credentials, crawled page content, screenshots, findings, scores, tasks, notes and integration settings. As between you and us, Your Data is yours.
You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, analyse and process Your Data solely to operate, secure, support and improve the Service for you, including sending the relevant parts of it to the categories of service provider described in our Privacy Policy. The licence ends when the data is deleted, subject to backups and legal retention.
Aggregated benchmarks. We compute de-identified, aggregated statistics across stores (for example a median SEO score, or the share of stores passing a given check) and may show or publish them as benchmarks. Aggregates are only computed and shown over a cohort of at least 20 stores, contain no store identifiers, and cannot reasonably be traced back to your store. We do not publish, sell or share your individual audit results.
If you share a report using a share link, anyone holding that link can view the report until you revoke it or it expires. Choose carefully who you send it to.
9. Our intellectual property
The Service (including the audit engine, the check definitions and their identifiers, the scoring model, prompts, the interface, the documentation and the Horavo name and logo) is owned by us and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription or entitlement, for your internal business purposes.
Nothing in these Terms transfers ownership of the Service to you. If you send us feedback, ideas or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation to you.
Horavo is not affiliated with, endorsed by or sponsored by Shopify Inc. “Shopify” is a trademark of Shopify Inc., used here only to describe what the Service audits.
10. Third-party services
The Service depends on third parties (hosting, payments, email, AI, performance measurement) and can connect to services you choose, such as Slack or your own webhook endpoint. We are not responsible for third-party services, their availability, or what you send to them through an integration you configure. Your use of a connected service is governed by that service’s own terms.
11. Availability and changes
We work to keep the Service available, but we do not promise uninterrupted access. We may perform maintenance, change or remove features, add or retire checks, and adjust scoring as the engine improves. A score change between runs may therefore reflect an engine change rather than a change to your store; where such a change is significant, we will note it in the product or by email.
We do not offer a service level agreement on the plans listed on the pricing page. Support is by email, with priority support included on higher tiers.
12. Suspension and termination
You may stop using the Service at any time and delete your account from the dashboard. Deleting your account removes your organisation’s data as described in the retention section of our Privacy Policy.
We may suspend or terminate your access, with notice where practical, if you materially breach these Terms, in particular section 4 (authorisation) or section 5 (acceptable use), if required by law, or if your use poses a security or stability risk. For non-serious breaches we will normally give you a chance to fix the problem first.
Sections 8 (as to licences already granted), 9, 13, 14, 15, 16 and 18 survive termination.
13. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that the Service will be uninterrupted, secure or error-free; that findings will be complete, accurate or free of false positives; that a score will correlate with any commercial outcome; or that acting on our output will make your store compliant with any law, standard or third-party requirement. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost goodwill, lost sales, or loss or corruption of data, even if advised of the possibility.
Our total aggregate liability arising out of or relating to these Terms or the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
If you had not paid us anything in that period, that cap is one hundred United States dollars (US$100) instead: a floor so the cap is never nil, not a ceiling on what paying customers can recover.
These limits do not apply to liability that cannot be excluded or limited by applicable law, including, where applicable, liability for death or personal injury caused by negligence, or for fraud. They apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
15. Indemnification
You will defend, indemnify and hold harmless Horavo and its officers, employees and agents from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising from your use of the Service in breach of these Terms, your submission of a store you were not authorised to audit, your content, or your violation of applicable law or the rights of a third party.
16. Governing law and disputes
These Terms and any dispute arising out of them are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Talk to us first. Before filing a claim, you agree to contact us at legal@horavo.com with a description of the dispute and to try in good faith to resolve it informally for at least 30 days.
If that fails, you and we agree to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware for any dispute, and each party waives any objection to that venue. Either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
Claims must be brought individually, not as a plaintiff or class member in a class or representative action. If you are a consumer resident in a jurisdiction whose law gives you the right to bring proceedings in your local courts or to rely on mandatory local consumer protections, nothing in this section removes that right.
17. Changes to these terms
We may update these Terms as the Service evolves. The effective date and version at the top of this page always reflect the current version. For material changes we will give notice by email or in the product at least 30 days before they take effect, unless a change is required sooner by law. Continuing to use the Service after a change takes effect means you accept the updated Terms; if you do not, cancel before the effective date.
18. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service, replacing any prior understanding.
- Severability. If a provision is held unenforceable, the rest stays in force and that provision is modified to the minimum extent needed to make it enforceable.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices. We may give notice by email to your account address or in the product. Send notices to us at legal@horavo.com.
- Independent parties. These Terms do not create a partnership, agency, employment or joint venture relationship.
- Export and sanctions. You confirm you are not located in, or acting on behalf of anyone in, a country or on a list subject to United States trade sanctions that would prohibit your use of the Service.
